1. Acceptance of Terms

These Terms & Conditions ("Terms") govern your access to and use of shiftsurface.com, our Customer Portal, our Sales Portal, and any related services (collectively, the "Services") operated by Shift Surface Group, LLC ("Shift"). By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not use the Services.

2. Eligibility & Accounts

• You must be at least 18 years old and able to form a binding contract.
• Customer Portal and Sales Portal accounts are created or invited by Shift management.
• You are responsible for safeguarding your credentials and for all activity under your account.
• Notify us immediately at info@shiftsurface.com if you suspect unauthorized access.

3. Quotes, Orders & Pricing

Quotes generated through the website or provided by Shift are estimates based on the information supplied and current pricing, materials, freight, and labor assumptions. Quotes are non-binding until accepted in writing by Shift and confirmed by a purchase order or signed agreement. Final pricing, lead times, and scope are governed by the executed order documents.

4. Customer Portal

The Customer Portal lets approved customers view orders, manage profile and branding details, submit support tickets, and access related resources. You agree to keep your information accurate and to use the portal only for your own legitimate business purposes.

5. Sales Portal (Independent Contractor Salespeople)

The Sales Portal is provided to independent contractor salespeople invited by Shift management. Use of the Sales Portal is in addition to, and subject to, any separate independent contractor or representative agreement between you and Shift. By using the Sales Portal you represent and agree that:

• You will submit lead information ("Lead Data") only where you have a lawful basis to share it.
• Lead Data and related activity belong to Shift and may be used by Shift to evaluate, contact, and convert leads.
• You will not misrepresent Shift, its pricing, or its capabilities to prospects.
• Commissions, fees, or other compensation are governed exclusively by your separate written agreement with Shift. The Sales Portal records deal values for tracking purposes only and does not itself create any payment obligation.
• Final approval of any lead conversion, customer account, or contract is at the sole discretion of Shift management.
• Shift may suspend, deactivate, or reassign your portal access and any leads associated with your account at any time.

6. Acceptable Use

You agree not to:

• Use the Services in violation of any law or third-party right.
• Upload malware or attempt to disrupt, probe, or reverse-engineer the Services.
• Access data, accounts, or systems for which you have no authorization.
• Scrape, harvest, or otherwise extract data in bulk without our written permission.
• Submit false, misleading, or unlawful information, including fabricated leads.

7. Intellectual Property

The Services, including our trademarks, logos, ITF Pace materials, calculators, designs, and content, are owned by Shift or its licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to use the Services for their intended purpose. No other rights are granted.

8. User Content

When you submit content (form data, lead details, support messages, notes, branding assets), you grant Shift a worldwide, royalty-free license to host, store, reproduce, and use that content to operate and improve the Services. You represent that you have all necessary rights to submit such content.

9. Third-Party Services

The Services rely on third-party providers (e.g., authentication, database, email delivery, analytics). We are not responsible for the availability, accuracy, or practices of third-party services. Use of those services may be subject to their own terms and policies.

10. Warranties & Disclaimers

The Services are provided on an "AS IS" and "AS AVAILABLE" basis. To the fullest extent permitted by law, Shift disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, secure, or error-free. Product-specific warranties, if any, are set out in the relevant order documents.

11. Limitation of Liability

To the maximum extent permitted by law, Shift and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenues, data, or goodwill, arising out of or related to your use of the Services. Our total cumulative liability for any claims relating to the Services will not exceed the greater of (a) the amounts paid by you to Shift in the 12 months preceding the claim, or (b) USD $100.

12. Indemnification

You agree to defend, indemnify, and hold harmless Shift, its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Services, your content (including Lead Data), or your violation of these Terms or any law.

13. Suspension & Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason including violation of these Terms. Upon termination, your right to use the Services ceases immediately; sections that by their nature should survive will survive.

14. Governing Law & Disputes

These Terms are governed by the laws of the United States and the state in which Shift maintains its principal place of business, without regard to conflict of laws principles. Any dispute will be brought exclusively in the state or federal courts located in that jurisdiction, and you consent to their personal jurisdiction and venue.

15. Changes to These Terms

We may modify these Terms from time to time. Updates take effect when posted. Material changes will be communicated by updating the "Last updated" date and, where appropriate, by additional notice. Continued use of the Services after changes constitutes acceptance.
